Terms of Service

These Terms of Service (the Terms) govern your access to and use of the Studio Nope website, our demonstration pages, and the HubSpot CMS themes, templates and modules we license (together, the Services).

By browsing this site, downloading a theme, or purchasing a license, you agree to these Terms. If you are accepting on behalf of a company, you confirm that you have authority to bind that company. If you do not agree, please do not use the Services.

This website is a demonstration environment for HubSpot CMS themes and modules. It is published to show layout, typography, module behaviour and theme settings in a live HubSpot context.

• Sample content: Company names, case studies, team members, testimonials, pricing tiers, statistics and imagery shown on demo pages are illustrative and do not describe real customers or real commercial results.
• Not an offer: Nothing on a demo page constitutes an offer, quotation or commitment for any product or service other than the themes and modules we license.
• Subject to change: Demo pages are rebuilt frequently as themes evolve. URLs and layouts may change without notice.

When you obtain a theme, template or module from us, whether through the HubSpot Marketplace or directly, you receive a non-exclusive, non-transferable license to use it, subject to these Terms and to any marketplace terms that apply to the purchase.

You may:

• Install and use the theme on the HubSpot portals covered by your license
• Modify templates, modules, styles and content to suit your own brand and requirements
• Use the theme to build sites for your own organisation or, where your license permits, for your clients

You may not:

• Resell, redistribute, sublicense or publish the source files as your own product, whether modified or not
• Include the theme or module code in a competing template, theme or module offering
• Remove or obscure copyright notices contained in the source files
• Share license keys, download links or purchased files with parties outside your license

Purchases made through the HubSpot Marketplace are processed by HubSpot under its own commercial terms, and its billing, invoicing and refund rules govern those transactions.

For purchases made directly with us:

• Payment: Prices are shown in the currency listed at checkout and are payable in full before delivery.
• Taxes: Prices exclude VAT and other applicable taxes unless stated otherwise.
• Refunds: Because themes are delivered as source files, we consider refund requests on a case by case basis within 14 days of purchase, provided the theme has not been deployed to a production website. Write to us and describe the problem you hit.
• Faulty products: If a theme does not function as described, we will repair it or refund it. This does not limit any statutory rights you have as a consumer.

We provide reasonable email support for installation, theme settings and defects in the code we shipped. Support is provided in English during business days.

Support does not cover:

• Custom development, bespoke design work or content migration
• Defects caused by third-party modules, custom code or edits made to the theme
• Problems originating in HubSpot itself, your hosting, DNS or integrations
• Training in HubSpot CMS, HubL or general web development

We release updates from time to time to fix defects and to track changes in HubSpot CMS. Updates are provided as-is, and applying an update to a theme you have customised may require you to reconcile your changes.

All templates, modules, source code, design assets, documentation and copy that make up the Services remain the intellectual property of Studio Nope or its licensors. Your license grants you rights of use, not ownership.

Content that you add to a site built with our theme, including your text, images, logos and data, remains entirely yours. We claim no rights over it.

Third-party assets bundled or referenced by a theme, such as icon sets, fonts and JavaScript libraries, remain subject to their own licenses. Where a theme depends on such an asset, the license is identified in the theme documentation.

You agree not to use the Services to:

• Break any applicable law or regulation, or infringe the rights of others
• Publish unlawful, deceptive, defamatory or harassing material
• Probe, scan or attempt to breach the security of this site or any system connected to it
• Scrape, crawl or harvest content at a volume that degrades the service for others
• Introduce malware or any other harmful code

We may suspend access to the Services where we reasonably believe this section has been breached.

The Services run on HubSpot CMS and rely on third parties for hosting, content delivery, fonts, analytics and payment processing. Demo pages may also link to external websites.

We do not control those third parties and are not responsible for their content, availability or practices. Your use of a third-party service is governed by that provider terms and privacy policy.

The Services are provided on an as is and as available basis. To the fullest extent permitted by law, we disclaim all warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Services will be uninterrupted or error free, that defects will be corrected, or that a theme will be compatible with every third-party module, integration or future release of HubSpot CMS.

To the fullest extent permitted by law, Studio Nope will not be liable for indirect, incidental, special, consequential or punitive damages, nor for loss of profits, revenue, data, goodwill or anticipated savings, arising out of or connected with your use of the Services.

Our total aggregate liability arising out of or relating to the Services is limited to the amount you paid us for the product giving rise to the claim in the twelve months before the claim arose.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded.

You agree to indemnify and hold Studio Nope harmless against claims, damages and reasonable costs arising from your breach of these Terms, from content you publish using our themes, or from your unlawful use of the Services.

You may stop using the Services at any time. We may suspend or terminate access where you materially breach these Terms and, where the breach can be put right, fail to do so within 30 days of being asked.

On termination, your license to use the affected theme ends and you must stop using and delete the source files. Sections covering intellectual property, disclaimers, limitation of liability and governing law survive termination.

We may update these Terms as our products and legal obligations change. When we make a material change we will update the date shown at the top of this page and, where appropriate, notify customers by email.

Continuing to use the Services after a change takes effect means you accept the revised Terms. If you do not accept them, stop using the Services.

These Terms are governed by the laws of the jurisdiction in which Studio Nope is established, without regard to conflict of law rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any competent court to protect its intellectual property.

If any provision of these Terms is held unenforceable, the remaining provisions stay in full force.
